9   AN ACT TO AMEND THE ARKANSAS BUSINESS CORPORATION ACT

10  OF 1987; TO AMEND THE UNIFORM LIMITED LIABILITY

11  COMPANY ACT; TO CLARIFY THE DEFINITION OF "PRINCIPAL

12  OFFICE" USED UNDER THE ARKANSAS BUSINESS CORPORATION

13  ACT OF 1987 AND THE UNIFORM LIMITED LIABILITY COMPANY

14  ACT; AND FOR OTHER PURPOSES.

18                       TO CLARIFY THE DEFINITION OF "PRINCIPAL

19                       OFFICE" USED UNDER THE ARKANSAS BUSINESS

20                       CORPORATION ACT OF 1987 AND THE UNIFORM

21                       LIMITED LIABILITY COMPANY ACT.

23 BE IT ENACTED BY THE GENERAL ASSEMBLY OF THE STATE OF ARKANSAS:

25  SECTION 1. Arkansas Code � 4-27-140(17), concerning the definition of

26 "principal office" used under the Arkansas Business Corporation Act of 1987,

27 is amended to read as follows:

28  (17)(A) "Principal office" means the office (in or out of this state)

29 so designated in the annual franchise tax report where the principal

30 executive offices of a domestic or foreign corporation are located.

31                       (B) If the domestic or foreign corporation does not have a

32 "principal office" as described under subdivision (17)(A) of this section,

33 the domestic or foreign corporation may designate the address of the domestic

34 or foreign corporation's registered agent as the principal office of the

35 domestic or foreign corporation.

36                       (C) A domestic or foreign corporation listing the address

1 of its registered agent under subdivision (17)(B) of this section shall

2 provide the Secretary of State with the physical address of a named officer

3 or director.

5   SECTION 2. Arkansas Code � 4-38-102(16), concerning the definition of

6 "principal office" used under the Uniform Limited Liability Company Act, is

7 amended to read as follows:

8   (16)(A) "Principal office" means the principal executive office

9 of a limited liability company or foreign limited liability company, whether

10 or not the office is located in this state.

11              (B) If the limited liability company or foreign limited

12 liability company does not have a "principal office" as described under

13 subdivision (16)(A) of this section, the limited liability company or foreign

14 limited liability company may designate the address of the limited liability

15 company or foreign limited liability company's registered agent as the

16 principal office of the limited liability company or foreign limited

17 liability company.

18              (C) A limited liability company or foreign limited

19 liability company listing the address of its registered agent under

20 subdivision (16)(B) of this section shall provide the Secretary of State with

21 the physical address of a named member or manager.
